Billing & Fair Usage Schedule

What this is: this Schedule forms part of the Agreement and describes KYRA’s standard self-service pricing. An Order Form may specify negotiated pricing. It sits alongside the Business Terms of Service and, where telephony is enabled, the Voice & SMS Service Schedule. All prices exclude VAT.

Prices exclude VAT. An active customer tenant is a configured End Customer that is not suspended or deleted and for which KYRA remains available during the billing period. Temporary provider failure does not automatically make a tenant inactive.

2 Fair-use interactions

2.1 Each active customer tenant includes 1,500 billable interactions per calendar month, unless its Order Form or portal rate card specifies another allowance.

2.2 A billable interaction is an End User message, utterance or request that causes KYRA to perform substantive AI or support processing. The following are not billable interactions:

2.3 Where overage is enabled in the accepted Order Form or rate card, interactions above the allowance are billed at £0.03 each, monthly in arrears.

2.4 Where overage is not enabled, KYRA may notify the Customer and require a higher allowance, a committed-volume Order Form or a reasonable usage control for future periods. KYRA will not retrospectively charge an undisclosed overage rate.

2.5 Usage is measured by KYRA’s durable usage records. The portal shows current usage and reasonable warning thresholds. Corrections will be itemised and audited.

3 Plan and model restrictions

3.1 Fixed-price Plans include only the AI model classes and token/context limits stated in the portal or Order Form.

3.2 Launch and Growth Plans use KYRA’s approved cost-efficient model class by default. Premium or general-purpose models, premium reasoning, unusually large contexts, high-volume vision and custom providers may require Enterprise, usage pricing or a bring-your-own-provider configuration.

3.3 Where the Customer supplies its own AI-provider account or key, the Customer pays that provider directly unless the Order Form states otherwise.

4 Telephony

Telephony charges are governed by the Voice & SMS Service Schedule. Standard launch rates are:

Country- or type-specific phone-number or carrier pricing may be higher and will be displayed before provisioning.

5 Ticket QA and historical backfills

5.1 Recurring Ticket QA fees are shown in the portal or Order Form.

5.2 A historical backfill is a separately billable job. Before confirmation, KYRA will show the window, estimated ticket count, per-ticket price, cap and estimated total. No job will begin unless the corresponding billing operation is authorised.

5.3 Where the provider returns fewer processable tickets than estimated, KYRA will charge only the processed or committed amount shown at confirmation.

6 Trials and design partners

6.1 A platform trial waives only fees expressly identified as waived.

6.2 Phone numbers, calls, SMS, streaming voice, recordings and other external usage remain billable during trials and design-partner periods unless the written arrangement expressly subsidises them.

6.3 Test and demo tenants operated by KYRA are not customer-billable and must be identified separately in usage records.

7 Proration and billing periods

7.1 Recurring fees are billed monthly in advance. Usage is billed after the relevant calendar month or provider statement is available.

7.2 Added recurring items may be prorated for the remainder of the current period. Unless required by law or stated in an Order Form, removing or downgrading an item takes effect at the next renewal and does not create a mid-period refund.

7.3 Calls and streaming voice are rounded in the manner disclosed at activation, ordinarily each call to the next whole billable minute where the underlying provider applies that method.

8 Currency, taxes and payment fees

8.1 Standard invoices are in GBP. Where a provider charges KYRA in another currency, Customer usage charges are converted using the rate and version disclosed in the reconciliation record, plus the stated markup.

8.2 Prices exclude VAT and similar taxes.

8.3 KYRA may set a reasonable minimum invoice amount or carry a very small usage amount into the following invoice, if disclosed on the invoice.

9 Reconciliation and corrections

9.1 KYRA may reconcile usage against provider records before charging. Reconciliation does not permit KYRA to charge a category or rate not present in the accepted Schedule or Order Form.

9.2 If an invoice contains a substantiated measurement or pricing error, KYRA will issue an adjustment, credit or corrected invoice. KYRA will not silently rewrite settled ledger records.

9.3 The Customer must notify KYRA of a dispute within 30 days of invoice receipt.

10 Changes

KYRA will provide at least 30 days’ written notice before increasing a price, reducing an allowance or introducing a newly billable usage category for an existing Customer, except for taxes or a Customer-requested order change. Continued use after the effective date constitutes contractual acceptance only where the Agreement’s valid change mechanism applies and the Customer has received the required notice.
